These Terms of Use apply to your use of the Moiio platform along with any associated services (the “Service”). By using our Services, you agree to these Terms of Use.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.

ACCEPTANCE OF TERMS

By creating an account, posting content, or otherwise using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms of Use. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 14 days' notice prior to any new terms taking effect.

REGISTRATION AND ACCESS

Eligibility
You must be at least 13 years old, or the minimum legal age required in your country, to use our Services. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian.

Account Registration
When creating an account, you must provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not share your account or allow others to access it. If you create or use an account on behalf of another individual or organization, you represent that you are authorized to do so and agree to these Terms on their behalf.

USING OUR SERVICES

Permitted Use
As long as you comply with these Terms, you are welcome to access and use our Services. When using our Services, you must follow all applicable laws and any other guidelines or documentation we provide.

Prohibited Use
You may not use our Services for unlawful, harmful, or abusive purposes. For example, you must not:

•   Use the Services in ways that infringe, misuse, or violate the rights of others.

•   Copy, modify, sell, lease, or distribute any part of our Services without permission.

•   Attempt to reverse engineer, decompile, or otherwise uncover the source code, algorithms, or systems behind our Services (unless permitted by law).

•   Use automated tools or scripts to extract data or content (“Output”) from the Services.

•   Present any Output as being created by a human when it was not.

•   Interfere with or disrupt our systems, including bypassing rate limits, security features, or other safety protections.

•   Use any Output to train or develop models that compete with us.

Software
Some parts of our Services may include downloadable software (for example, mobile apps), which may update automatically to keep you on the latest version. Certain software components may include open-source elements governed by their own licenses, which we’ll make available to you.

Third-Party Services
Our Services may use or display third-party software, tools, or content (“Third-Party Services” or “Third-Party Output”). These are subject to their own terms and policies, and we are not responsible for them.

Feedback
We welcome your feedback and suggestions. By submitting feedback, you agree that we can use it freely without obligation or compensation to you.

Content that is not connected to K-Pop — such as political discussions, unrelated advertisements, or personal promotions — is not allowed and may be removed.

CONTENT ON MOIIO

Your Content
When you post, share, or upload content (“User Content”) on Moiio, you retain ownership of it. However, by posting, you grant Moiio a worldwide, non-exclusive, royalty-free license to use, display, distribute, and promote your content as needed to operate and improve the platform. You are responsible for the content you share and must ensure it complies with these Terms and our Community Guidelines.

Content Scope
Moiio exists to celebrate and support K-Pop and its global fandom culture. All content shared on Moiio must be directly or tangentially related to K-Pop — including artists, fandoms, music, events, creative works, and fan activities.

Examples of acceptable K-Pop–related content include (but are not limited to):

•   Fan projects, fundraising campaigns, and community events.

•   Concert discussions, fan meet reports, or comeback updates.

•   Dance covers, fan art, edits, and reaction videos.

•   Fandom coordination and member updates.

•   Commentary, essays, or analysis about the K-Pop industry or culture.

Prohibited Content
You may not post or share content that is:

•   Illegal, harmful, or deceptive.

•   Violating intellectual property, privacy, or publicity rights.

•   Harassing, hateful, or discriminatory.

•   Spam, scams, or irrelevant promotions.

•   Misrepresenting others or impersonating individuals or organizations.

Platform Use
Moiio is designed solely for K-Pop–related community engagement. Using the platform for unrelated commercial, political, or personal purposes is not permitted. If you’re unsure whether your content fits within these boundaries, please refer to our Community Guidelines or contact support for clarification.

Content Rights and Removal
Moiio reserves the right to review, remove, or restrict any content that violates these Terms, our policies, or applicable law. Moiio reserves the right to suspend or terminate accounts that repeatedly post unrelated or prohibited material.

Community Guidelines
Our Community Guidelines are an extension of these Terms and outline the standards for acceptable behavior and content on Moiio. These Guidelines may be updated periodically, and continued use of Moiio signifies your agreement to follow the most current version.

PAID ACCOUNTS

Billing
If you choose to purchase a paid plan or any premium Services on Moiio, you must provide accurate and up-to-date billing information, including a valid payment method. For any subscription plans, your payment method will be automatically charged at the start of each renewal period unless you cancel before the renewal date. You are responsible for all applicable taxes, which will be added to your payment when required by law. If a payment fails, we may suspend or downgrade your account until payment is successfully processed.

Cancellation
You may cancel paid subscriptions at any time through your account settings. Please note that payments are non-refundable, except where required by law. These Terms do not affect any cancellation rights granted to you under local consumer protection laws.

Price Changes. We may adjust our pricing from time to time. If subscription prices change, we’ll notify you at least 14 days before the change takes effect. Any increase will apply to your next renewal period, giving you the option to cancel before the new rate begins.

TERMINATION AND SUSPENSION

Termination
You may stop using Moiio at any time. Moiio reserves the right to suspend or terminate your access, or delete your account, if we determine that:

•   You have violated these Terms or Privacy Policies.

•   We are required to do so by law.

•   Your use of Moiio could pose a risk or cause harm to Moiio, our users, or others.

Additionally, accounts that have been inactive for over one year and do not have an active paid subscription may be terminated. In such cases, we will provide advance notice before taking action.

Appeals
If you believe your account has been suspended or terminated in error, you may contact our support team to file an appeal at hello@moiio.co.

Copyright Policy (DMCA)

Moiio respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512, Moiio will respond expeditiously to claims of copyright infringement committed using our platform when reported to our designated copyright agent.

Designated Copyright Agent

If you believe that content on Moiio infringes your copyright, please send a written notice to our designated agent at hello@moiio.co.

Requirements for a Valid Takedown Notice

To be effective, your notice must include:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

  2. Identification of the copyrighted work you claim has been infringed.

  3. Identification of the material you claim is infringing, with enough detail for us to locate it on the platform (ie. a URL or description of where it appears).

  4. Your contact information, including name, address, telephone number, and email address.

  5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.

  6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to hello@moiio.co that includes:

  1. Your physical or electronic signature.

  2. Identification of the content that was removed and its location on the platform before removal.

  3. A statement under penalty of perjury that you have a good faith belief the content was removed by mistake or misidentification.

  4. Your name, address, telephone number, and a statement that you consent to the jurisdiction of the federal district court in your district (or, if outside the U.S., any judicial district in which Moiio may be found), and that you will accept service of process from the person who filed the original notice.

Upon receiving a valid counter-notice, Moiio will notify the original complainant. If no legal action is filed within 10 business days, we may restore the removed content at our discretion.

Repeat Infringers

Moiio maintains a policy of terminating, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of copyrighted material.

DISCLAIMERS

Our services are provided “as is” and “as available.” To the fullest extent permitted by law, Moiio, its affiliates, and licensors make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, or uninterrupted and error-free service. We do not guarantee that the Services will always be accurate, secure, complete, or free from errors, loss, or alteration.

By using Moiio, you acknowledge and agree that any content or outputs from the Services are used at your own risk. You should not rely on them as your sole source of factual information or as a substitute for professional advice.

All content and outputs on Moiio are intended for K-Pop–related purposes only. Users should use outputs responsibly within the context of K-Pop fandom, community discussion, or creative projects. Content or outputs used outside this scope are done at your own risk.

LIMITATION OF LIABILITY

Neither Moiio nor its affiliates or licensors will be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, use, data, or other losses, even if we have been advised of the possibility of such damages.

Our total liability under these Terms will not exceed the greater of (a) the amount you paid for the specific Service that gave rise to the claim in the 12 months prior to the claim, or (b) one hundred dollars ($100). These limitations apply to the maximum extent permitted by applicable law.

Some jurisdictions do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of these limitations may not apply to you. In such cases, our liability is limited to the greatest extent allowed by law in your country of residence.

Affiliates, suppliers, licensors, and distributors of Moiio are intended third-party beneficiaries of this section.

INDEMNIFICATION

You agree to indemnify and hold harmless Moiio, its affiliates, and its personnel from and against any costs, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from third-party claims related to your use of the Services or content, or any breach of these Terms, to the extent permitted by law.

CHANGES TO TERMS & SERVICES

We are continuously working to develop and improve our Services. We may update these Terms or our Services accordingly from time to time. For example, we may make changes to these Terms or the Services due to:

•   Changes to the law or regulatory requirements.

•   Security or safety reasons.

•   Circumstances beyond our reasonable control.

•   Changes we make in the usual course of developing our Services.

•   To adapt to new technologies.

We will give you at least 30 days advance notice of changes to these Terms that materially adversely impact you either via email or an in-product notification. All other changes will be effective as soon as we post them to our website. If you do not agree to the changes, you must stop using our Services.

GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Except as described in the dispute resolution section, any claims arising out of or relating to these Terms must be brought exclusively in the state or federal courts located in San Francisco, California.
