MONETIZED CREATOR AGREEMENT
Effective: October 13, 2026
The Moiio Monetized Creator Agreement enables you to access monetization tools offered by Moiio in connection with organizing on your Moiio Group.
This Monetized Creator Agreement (“Agreement”) contains the terms and conditions that govern your participation in the Moiio Monetized Creator Program (“Program”), which is operated by Moiio Intelligence Inc., and its corporate affiliates (collectively, “Moiio”). Any person or entity that participates or attempts to participate in the Program (such person or entity, “you” or “your”) must accept this Agreement.
Upon your acceptance of this Agreement and/or your use of Moiio or continued participation in the Program, you agree that the terms herein will govern your participation in the Program. You further agree that Moiio will have no obligations in connection with this Agreement until it determines that your Moiio Group is eligible to participate in the Program. The Terms of Use and other posted Moiio guidelines, rules, and policies (collectively, the “Terms of Use”) are incorporated herein and continue to govern your use of the Moiio Platform and any of its Services.
1. WHO CAN USE THESE FEATURES
1.1 You must be old enough to enter a binding contract where you live, and you must be eligible for a Stripe connected account.
1.2 You must finish Stripe’s identity verification and keep your information accurate and current. Moiio relies on Stripe’s checks and can suspend you if you don’t meet the Terms of Use.
1.3 Payments and payouts run through Stripe. You must accept Stripe’s connected account terms. Stripe is independent of Moiio, and Moiio is not responsible for what it does or doesn’t do.
2. MOIIO’S ROLE
2.1 For tickets and memberships, Moiio acts as your agent for limited purposes only: showing and promoting your events and memberships, selling tickets for you, collecting payments for you, and paying you. Moiio has no other authority to act for you.
2.2 For tickets and memberships, you are the seller. You are responsible for your events, your membership benefits and everything you promise in your listings. Moiio is not the organizer, promoter, venue operator or employer of any event unless an event page says so.
2.3 For digital avatar items (Section 9), Moiio is the seller.
2.4 You authorize Moiio and Stripe to collect payments from buyers and members, take Moiio’s fees, hold reserves, issue refunds, and pay you the rest. When a buyer pays Moiio, that payment counts as payment to you for that amount.
2.5 You and Moiio are independent contractors. This Agreement doesn’t create a partnership, joint venture or employment relationship. You can’t make promises or sign contracts on Moiio’s behalf.
2.6 Moiio doesn’t guarantee any level of sales, attendance, subscriptions or revenue.
3. SELLING TICKETS
3.1 Events must be K-pop related, such as concerts, fan cafes, fan meetings, meetups and screenings. Moiio decides whether an event qualifies and can remove any that doesn’t.
3.2 Each event listing must correctly state your name, the date, start time and time zone, the venue or online access, each ticket type with its quantity and price, any age limits or entry requirements, any add-ons (like merch) and how you’ll deliver them, and any rules for attendees.
3.3 You are responsible for everything about your event. That includes permits and licenses (venue, performers, music, recording), safety and security, accessibility, age checks at entry, delivering the ticket perks and add-ons you sold, and following the law. Moiio isn’t responsible for any event.
3.4 Refunds follow the uniform policy in Moiio’s Ticket Purchase Terms. You can’t change it, or tell buyers a different policy applies, without Moiio’s written approval. You must honor every refund it requires.
3.5 Moiio doesn’t currently support ticket transfers, and tickets can’t be transferred or resold. Don’t offer, allow or help with either.
3.6 If you decide to cancel, postpone, reschedule or materially change an event, you must notify Moiio right away and before you announce it anywhere else. Section 6 covers the refunds that follow.
3.7 Buyers see, and pay, one all-in ticket price. It includes taxes, Moiio’s fee and payment processing fees, and Moiio adds no other mandatory fee at checkout. Set your prices with that in mind.
4. MEMBERSHIPS
4.1 A membership is a recurring monthly subscription that a fan buys to get the benefits of a tier. Memberships are sold in the Moiio iOS and Android apps through in-app purchase.
4.2 Tiers and gem prices are fixed in the apps to comply with the App Store and Google Play rules and Moiio is not able to change them. However, you can choose the benefits for each tier or decide which ones to activate within your group.
4.3 You must deliver the benefits you list, promptly and as described. Benefits must be lawful and accurately described. You must have the rights to any content you provide.
4.4 You can add benefits to a tier at any time. You can’t materially reduce or remove a benefit during a member’s current billing month without Moiio’s written approval.
4.5 The App Store and Google Play process membership purchases under their own terms. They can refund, reverse or withhold payments. If they do, Moiio can deduct that amount from what Moiio owes you.
4.6 Members cancel through the App Store they subscribed with. They keep their benefits until the end of the current monthly billing period and aren’t charged again. There are no refunds for partial months, except where the law or the App Store requires.
4.7 If you delete a tier, close your account, or are suspended or terminated, current members keep their benefits through the end of the current monthly billing period and aren’t billed for that tier again. No refunds are owed except where the law or the App Store requires. You must keep providing the benefits through the end of that period unless Moiio chooses to provide them.
4.8 Membership benefits and content are subject to Moiio’s Terms of Use and Community Guidelines.
5. FEES, RESERVE AND PAYOUTS
5.1 Moiio charges 4% of the ticket price on each ticket sold, 15% of membership revenue (defined in Section 5.3), and 30% of digital avatar skin revenue. Fees come out of your proceeds and are not added to what buyers or members pay. Digital avatar items work differently (Section 9) and carry no platform fee.
5.2 Stripe charges a processing fee on each payment. The rate varies by payment method, country and currency, and Stripe may change it. You as the Creator bear that fee from ticket sales as part of the all-in ticket price, and Moiio can deduct it from your proceeds.
5.3 For memberships, Apple or Google deducts its commission, fees and taxes from each payment before sending Moiio the rest, and you bear those costs. “Membership revenue” means what the App Store sends Moiio after its deductions. Moiio takes its 15% of that amount and pays you the remainder.
5.4 For each event, Moiio reserves the right to hold AT MINIMUM 10% of ticket proceeds until the event takes place. Moiio can hold more if it reasonably sees added risk, such as a new host, high sales volume, complaints, unusual refund or chargeback rates, or a suspected breach. The reserve backs up what you owe Moiio. It isn’t a deposit and earns no interest. Moiio releases it 10 business days after the event ends if no refunds, disputes or claims are pending. Moiio can keep an amount it reasonably estimates will cover anything pending.
5.5 Moiio pays out ticket proceeds, after fees, the reserve and any permitted deductions, within 10 business days after the conclusion of the event. Moiio pays out membership revenue, after its fee and any permitted deductions, within 5 business days after the end of each calendar month. Payouts go through Stripe to your connected account. They depend on Stripe and your bank, on any hold under Section 10, and on your following this Agreement.
5.6 From any amount Moiio owes you, Moiio can deduct its fees, refunds, chargebacks, taxes Moiio must withhold, and anything else you owe Moiio under this Agreement.
5.7 Stripe holds funds under its own terms. Moiio is not a bank, and held amounts aren’t insured deposits.
5.8 Moiio can change its fees or payout terms on 30 days’ notice. A change doesn’t apply to tickets already on sale when Moiio gives notice.
6. REFUNDS, CANCELLATIONS AND CHARGEBACKS
6.1 You are responsible for the full amount of every refund that is due under Moiio’s Ticket Purchase Terms or the law. That includes refunds for cancelled, postponed, rescheduled or materially changed events.
6.2 Moiio can fund refunds from the reserve, from ticket proceeds Moiio hasn’t paid out, from membership revenue, and from any other amount Moiio owes you.
6.3 Moiio DOES NOT keep its 4% platform fee on any ticket that is refunded or cancelled. A buyer’s refund is the amount they paid, minus the processing fee that Stripe doesn’t return, as Moiio’s Ticket Purchase Terms say. If the law requires refunding the processing fee to the buyer, you bear it, and Moiio can deduct it from you.
6.4 You as the host are responsible for any chargeback, the related dispute fees and penalties. When Moiio asks for evidence to contest a chargeback, send it within five business days. You authorize Moiio to respond to a chargeback for you.
6.5 If you owe Moiio more than Moiio holds for you, pay the difference within 10 days after Moiio asks. Moiio can set it off against future payouts, charge a payment method you have on file, and collect it by any lawful means, including reasonable collection costs and attorneys’ fees. Overdue amounts accrue interest at the lower of 1.5% per month and the highest rate the law allows.
6.6 Moiio can only refund a buyer or member if Moiio has the funds. If you don’t fund a refund you owe, you stay fully liable to the buyer and to Moiio. Moiio reserves the right to use the reserve, and to withhold and offset your payouts, to refund your buyers directly. Moiio can also advance the funds itself, and you must repay Moiio on demand.
6.7 If Moiio reasonably suspects fraud, a stolen payment method or a breach of Moiio’s Ticket Purchase Terms, Moiio can cancel tickets and refund buyers. Section 6.1 applies to those refunds.
7. TAXES
7.1 You are responsible for working out, collecting, reporting and paying all taxes on your tickets, add-ons, memberships and events, in every place where you hold events or make sales.
7.2 Ticket prices are shown to buyers with taxes included. Set your price so they cover the taxes you owe.
7.3 Moiio is not responsible for the taxes of your event. Where the law requires, Moiio may collect and remit taxes, or withhold them from your payouts, and you authorize Moiio to. Moiio’s fees don’t include taxes, and you pay any VAT, GST or similar tax that applies to Moiio’s fees.
7.4 Give Moiio and Stripe the tax information and forms they ask for, and keep them current. Moiio and Stripe may report your earnings to tax and other government authorities where the law requires.
7.5 Apple or Google may collect and remit taxes on memberships under their own terms. You still handle your own income and other taxes.
8. CONTENT, IP AND DATA
8.1 You own the content you submit, like event details, descriptions, images, names, logos and membership benefit descriptions. You give Moiio a worldwide, non-exclusive, royalty-free license to host, show, reproduce, format and adapt it (and to let Moiio’s service providers do the same) so Moiio can run the platform and promote your events and memberships within Moiio and on Moiio’s official social media and related channels. The license lasts while your content is listed and for a reasonable time afterward.
8.2 You promise that you own, or have all the rights you need to, your content and every name, logo, likeness, performance, musical work, recording and other content you use in your events or membership benefits. You also promise that none of it infringes anyone’s copyright, trademark, publicity, privacy or other rights.
8.3 Don’t say or suggest that an artist, group, agency or label sponsors, endorses, attends or is affiliated with your event or membership unless that is true and you are authorized to say so. Don’t impersonate anyone.
8.4 Moiio can remove or disable any event, membership or content that Moiio reasonably believes is unauthorized, deceptive, infringing or against this Agreement. Rights holders can report infringement under Moiio’s DMCA policy.
8.5 Moiio keeps all rights in its platform, names, marks and logos.
8.6 For each buyer, Moiio gives you their name, applicable contact information, ticket details and check-in status. For each member, Moiio gives you their username. Where it applies, such as for an age-restricted event, Moiio also gives you a date of birth. Moiio may share more only if it updates this Section and the Privacy Policy.
8.7 Use it only to run your event, communicate with buyers about the event, check age and admission, and provide membership benefits. Don’t use it for marketing or promotion, sell or share it (except with service providers bound by terms at least as protective as this Section), contact anyone with it except to communicate about the event, or combine it with other data to identify people. Delete it within [90] days after the event ends or the membership ends, unless the law requires you to keep it longer.
8.8 You are an independent controller of the personal data you hold. Follow all data protection laws that apply, keep the data secure, and tell Moiio within 72 hours after you learn of any unauthorized access to, or loss or disclosure of, data Moiio gave you. Use a minor’s date of birth only to check age or eligibility. Moiio’s Privacy Policy explains how Moiio handles personal data.
9. DIGITAL ITEMS
9.1 Digital avatar items are avatar items, backgrounds, rooms and other virtual items for use in Moiio. They are optional, and Moiio reserves the right to decline any proposal. Only creators that own, or are the authorized licensor of, the IP involved (such as labels, artists, managers and agencies) can create digital items, which Moiio may ask for proof of ownership.
9.2 Moiio creates, hosts and sells the items, in its own name, as the seller. Sections 2.1, 2.2, 2.4, 5 and 6 don’t apply to them. Moiio handles buyer support, refunds and chargebacks on them.
9.3 The items are hosted and sold only in Moiio. Moiio won’t sell or license them on any other platform, storefront or virtual environment without your written consent. If you’d like to explore that, raise it with Moiio, and Moiio will discuss it separately.
9.4 You must send the final draft designs before the items go live, and Moiio reserves the right to reject for any reason deemed necessary.
9.5 Moiio has sole authority over how the items are priced and sold, including the starting price, later price changes, bundles, discounts and promotions.
9.6 Moiio pays your share within 30 days after the end of each calendar month, with a report showing gross sales, processing fees, App Store fees, taxes and the Net Revenue calculation. Sections 5.6 and 10 apply to these payouts.
9.7 Moiio collects and remits transaction taxes on its sales of the items where the law requires. You handle your own income and other taxes on your share.
9.8 You give Moiio the exclusive, worldwide right to display, distribute and sell the newly created digital assets (the “Virtual IP”) within Moiio. You also give Moiio a non-exclusive, worldwide, royalty-free license to use the IP such as artist names, logos, trademarks and likenesses, only to create, show, promote within Moiio, and sell the items. You keep all ownership and control of that underlying IP, including real-world names, logos, trademarks, apparel designs, music, concepts and likenesses. Moiio receives no other rights in it.
9.11 Moiio’s right to host and sell the items continues indefinitely from the date of the item schedule, unless you and Moiio both agree in writing to end it. Ending this Agreement under Section 10 doesn’t end it. Moiio can stop selling any item at any time.
9.12 A user who purchase an item in Moiio receives a perpetual right to possess, wear and use it within Moiio. Neither you nor Moiio can revoke, delete or remove an item from a buyer who bought it lawfully, even after this Agreement ends. The exceptions are a refund or chargeback, termination of the buyer’s account for breaking the Terms of Use, and where the law requires it.
9.13 You promise that you own, or are the authorized licensor of, all the IP you provide for the items, and that you can grant the rights in this Section. You also promise that Moiio’s use of that IP as this Section allows won’t infringe or violate anyone’s IP, privacy or other rights. Section 12 applies to claims that arise from a breach of this promise.
10. SUSPENSION AND TERMINATION
10.1 Moiio can immediately suspend or restrict your access to these features, remove listings or pause sales if you break this Agreement or the Terms of Use, if Moiio suspects fraud or unlawful activity, if your refund or chargeback rates are high, if the law, Stripe or an App Store requires it, or if Moiio reasonably sees risk to buyers, members or itself.
10.2 While a suspension is in effect, or until what you owe is covered, Moiio can delay or hold payouts for as long as is reasonably needed to investigate and as the law allows.
10.3 Either you or Moiio can end this Agreement for any reason on 14 days’ written notice. Moiio can end it immediately if you materially breach it, commit fraud or unlawful conduct, or break the promises in Section 11.1 or the rules in Section 11.5.
10.4 Ending this Agreement doesn’t cancel tickets already sold or active memberships. You must keep honoring them under Sections 3.6, 4.7 and 6. After the later of the end of each event and the end of the reserve release period, Moiio will pay you any balance it still owes, minus anything you owe Moiio. Stop using Moiio’s names and marks.
10.5 Sections 6, 7, 8, 9.10 to 9.12, 12, 13 and 14, and any rights and obligations that have already built up, survive after this Agreement ends.
11. YOUR PROMISES AND RULES
11.1 You promise that (a) all the information you give Moiio and Stripe is true, accurate and complete; (b) you hold, and will keep, every license, permit and authorization you need to hold your events and offer your memberships; (c) you are not on, or owned or controlled by anyone on, any sanctions or restricted-party list of the United States, European Union, United Kingdom, United Nations or another applicable authority; and (d) you haven’t been removed from Moiio before for breaking the Terms of Use or this Agreement.
11.2 Follow all laws that apply to your events, memberships and sales, including consumer protection, ticketing and resale, health and safety, accessibility, advertising, anti-money-laundering and sanctions laws.
11.3 Carry commercial general liability insurance, and any other insurance the law or your venue requires, in amounts customary for events of your size and type. Show Moiio proof if Moiio asks. Moiio will not in any circumstances insure your events.
11.4 You are responsible for age checks, child-safety measures and any consents the law requires for any minors who may attend your event.
11.5 You are not able to:
• list an event that isn’t K-pop related, is unlawful, or doesn’t exist;
• mislead buyers or members about price, content, performers, location, benefits or refund terms;
• steer buyers to complete a purchase outside Moiio to avoid Moiio’s fees on tickets listed on Moiio;
• sell tickets in a way that breaks resale or anti-scalping laws;
• harass, discriminate against or exploit anyone, or sexualize any minor; or
• sell alcohol, tobacco, weapons, drugs or other restricted items through Moiio.
11.6 Cooperate with Moiio, Stripe and any authority on reviews, disputes and investigations about your sales. Keep complete and accurate records of your events and sales for at least 3 years, and give Moiio copies if Moiio asks.
12. INDEMNITY
12.1 You will defend, indemnify and hold harmless Moiio, its affiliates, and their officers, directors, employees and agents from all claims, losses, damages, fines, penalties, costs and expenses (including reasonable attorneys’ fees) that arise from:
• your events and memberships, including any injury, death, illness, loss or damage to attendees, members, performers or anyone else;
• your content, or any claim that your content, or how you use any content, infringes someone’s rights;
• your breach of this Agreement or the Terms of Use;
• your taxes, refunds, chargebacks and any negative balance;
• your violation of the law; and
• your gross negligence, fraud or willful misconduct.
12.2 Moiio will tell you promptly about any claim it wants you to cover. A delay only lets you off to the extent it seriously hurts your defense. You run the defense with lawyers Moiio reasonably accepts, and Moiio can join with its own lawyers at its own cost. Don’t settle a claim in a way that puts any obligation or admission on Moiio, or that doesn’t fully release Moiio, without Moiio’s written consent.
13. LIMITS ON MOIIO’S LIABILITY
13.1 TO THE FULLEST EXTENT THE LAW ALLOWS, THESE FEATURES AND MOIIO ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MOIIO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. MOIIO DOESN’T PROMISE THAT THESE FEATURES WILL BE UNINTERRUPTED OR ERROR-FREE.
13.2 TO THE FULLEST EXTENT THE LAW ALLOWS, MOIIO ISN’T LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF MOIIO WAS TOLD THEY WERE POSSIBLE.
13.3 TO THE FULLEST EXTENT THE LAW ALLOWS, MOIIO’S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT WON’T EXCEED THE GREATER OF (A) THE FEES MOIIO ACTUALLY RECEIVED FROM YOU IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (B) US$100.
13.4 Sections 13.2 and 13.3 don’t limit liability that the law doesn’t allow Moiio to limit, such as liability for fraud or willful misconduct. They also don’t limit what you owe Moiio for payments, refunds, reimbursements or indemnity.
13.5 Stripe, Apple, Google and other third parties are independent of Moiio. Moiio isn’t liable for their acts, omissions, outages or decisions.
14. GOVERNING LAW AND GENERAL TERMS
14.1 Delaware law governs this Agreement, without regard to its conflict-of-laws rules. Disputes are resolved as set out in the dispute resolution section of Moiio’s Terms of Use, which applies here too. Rights you have under local law that can’t be waived stay in place.
14.2 Moiio can ask any court for an injunction or other fair relief to protect its IP or enforce Section 8.
14.3 Moiio can update this Agreement by giving you 30 days’ notice by email or in Moiio. If you keep using these features after that, you accept the update. Section 5.8 covers fee changes.
14.4 This Agreement can change to comply with the law wherever you hold events or sell memberships, or wherever a buyer or member lives. Moiio can change or add terms for a country, effective on notice to you, to the extent Moiio reasonably decides is needed to follow the law. If any part of this Agreement conflicts with a mandatory legal rule, the legal rule wins, this Agreement is treated as changed only as much as needed, and the rest stays in force.
14.5 This Agreement is not transferable without Moiio’s written consent. Moiio can transfer it in a merger, acquisition, reorganization or sale of assets.
14.6 This Agreement, Moiio’s Terms of Use, Ticket Purchase Terms and Privacy Policy are the entire agreement between you and Moiio on this subject and replace anything earlier on it.
14.7 If a part of this Agreement can’t be enforced, the rest stays in force. If Moiio doesn’t enforce a right immediately, that doesn’t mean it has given the right up. A waiver only counts if it’s in writing.
14.8 Moiio isn’t liable for delays or failures caused by things outside Moiio’s reasonable control, including outages at Stripe, Apple or Google, natural disasters, war, government action, and internet or utility failures.
14.9 Nobody other than you and Moiio has rights under this Agreement, except the people Moiio protects in Section 12.
14.10 You agree that accepting this Agreement electronically is binding. Translations are for convenience. Where the law allows, the English version controls.
