MOIIO’S TERMS OF SALE
Effective: October 13, 2026
1. INTRODUCTION AND ACCEPTANCE
These Terms of Sale apply to every purchase you make on Moiio, the K-pop fan social platform operated by Moiio Intelligence Inc. (“Moiio,” “we,” “us,” or “our”). They cover how you buy Gems, memberships, event tickets, and avatars, and they are part of the Moiio Terms of Use.
By buying Gems or using Gems to complete a purchase, you agree to these Terms of Sale. If you do not agree, please do not make a purchase. Capitalized terms not defined here have the meaning given in the Terms of Use. If these Terms of Sale conflict with the Terms of Use on a matter relating to purchases, these Terms of Sale control.
You must be old enough to enter a binding contract where you live, or have the permission of a parent or legal guardian who agrees to these Terms of Sale on your behalf. Some purchases may be limited by age, country, or local law.
2. GEMS
You can buy Gems with real money through the payment methods shown at checkout. Gem packages, prices, and any bonus Gems are displayed before you confirm. Gems are added to your Moiio account once your payment is successfully processed.
When you buy Gems, you receive a limited, personal, non-exclusive, non-transferable, revocable license to use them on Moiio. You do not own Gems, and Gems are not property, a bank deposit, stored value, or electronic money.
Gems have no monetary value outside Moiio. They cannot be redeemed for cash, exchanged for another currency, or refunded as a cash balance, except where required by law. Gems have no value until they are used to complete a purchase on Moiio.
You may not sell, trade, gift, lend, or otherwise transfer Gems to another person, whether on or off Moiio, except through features we expressly provide. Buying or selling Gems through any unauthorized third party is prohibited, and Gems obtained that way may be removed without refund.
Bonus or promotional Gems are provided at our discretion, may carry restrictions or expiration dates described at the time they are offered, and have no purchase value. They are used before purchased Gems unless we state otherwise.
Your Gem balance is shown in your account. Unused Gems remain available while your account is active and in good standing, subject to applicable law. If we discontinue Gems, we will give you reasonable notice and a chance to use your remaining balance, as required by law.
3. PURCHASING WITH GEMS
Some purchases such as Memberships, and avatar skins, and other related items on Moiio are made with Gems. You cannot pay for these items directly with a card or other payment method; you first buy Gems and then spend them.
The price of each item is shown in Gems before you confirm. When you confirm, the Gems are deducted from your balance and the item is delivered to your account. A purchase made with Gems is complete once you confirm it, so please review the item, price, and details first.
If your balance is too low, you will be prompted to buy more Gems. We may set minimum or maximum Gem purchase amounts, daily limits, or per-item limits to prevent fraud or abuse.
4. MEMBERSHIPS
When you start a Membership, you authorize Moiio to deduct the Membership price in Gems from your balance at the start of each billing period (ie. monthly), until you cancel. The price and billing period are shown before you confirm.
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Renewal is charged at the then-current Gem price.
If your Gem balance is not enough on the renewal date, the renewal will not go through and your subscription may end or be suspended. We are not responsible for lapses caused by a low balance. If you have enabled automatic Gem top-ups, we may buy Gems with your saved payment method to complete the renewal.
You can cancel a Membership at any time in your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. Cancelling does not refund Gems already spent on the current period, except as described in Section 9.
We may change subscription prices or benefits. We will notify you in advance, and the change applies from your next renewal. If you do not agree, you can cancel before that renewal.
If a trial or promotional offer is available, its length and terms are shown when you sign up. Unless stated otherwise, the Membership converts to a paid subscription at the end of the trial.
5. EVENT TICKETS
Events are led by Hosts. Moiio facilitates the transaction of Event Tickets and delivers them to your account, but the Host is responsible for the event itself, including the lineup, venue, schedule, and entry requirements. Event details shown at purchase are provided by the Host and may change. Please see Ticketing Purchase Terms for more detail.
Event Tickets are delivered digitally in your account, usually immediately after purchase. We may limit the number of tickets per account or per event. Tickets are for personal use unless the event page says otherwise.
Entry is subject to the Host’s and venue’s rules, which may include age limits, ID checks, security screening, and a code of conduct. A ticket does not guarantee entry if you do not meet these requirements, and Moiio is not responsible for entry being refused for that reason.
You may not resell, transfer for profit, or distribute Event Tickets outside Moiio. Tickets obtained or sold in breach of this rule may be cancelled without refund.
If an event is cancelled, we will refund the Gems you spent on the Event Ticket to your Moiio account. If an event is rescheduled or materially changed, your Event Ticket will normally remain valid for the new date or format, and we will tell you how to request a refund if you cannot attend, where the Host allows it. Costs outside Moiio, such as travel or accommodation, are not covered.
If you do not attend an event for any reason, your Event Ticket is not refundable unless the event page or applicable law says otherwise.
6. AVATARS SKINS
Avatar skins are bought once with Gems and added to your account. You do not need to pay again to keep using an Avatar skin that you have purchased, for as long as your account is active and Moiio offers them.
Buying an Avatar skin gives you a limited, personal, non-exclusive, non-transferable license to display and use it on Moiio. You do not acquire ownership of the Avatar or any intellectual property in it. Avatar skins, and any artist likeness, names, or designs they contain, remain the property of Moiio, its licensors, or the relevant rights holders.
You may not sell, trade, copy, or transfer Avatar skins, use them outside Moiio, or use them for commercial purposes without our written permission.
Skins may be limited in time or quantity, and some may be removed from the store. We may update, adjust, or replace an Avatar for technical, legal, or licensing reasons. If we are required to remove an Avatar you own because of a licensing change, we will tell you and may offer a replacement or Gems in return, where required by law.
7. PRICING, PAYMENT, AND TAXES
Gem packages are priced in the currency shown at checkout, and items are priced in Gems. We may change prices, packages, and promotions at any time, but a change will not affect a purchase you have already completed.
You agree to provide accurate payment information and confirm that you are authorized to use the payment method. Payment for Gems is processed by our Payment Providers, whose terms also apply. We may decline or cancel a purchase if we suspect fraud, an error, or a breach of these terms.
Prices for Gems include or exclude applicable taxes as shown at checkout. Where required, we collect and remit value-added tax (VAT), goods and services tax (GST), sales tax, or similar taxes based on your location. The tax rate depends on your country and may differ by item type, and taxes on Event Tickets may be determined by the event’s location. The tax amount is shown before you confirm your purchase.
If an item or Gem package is listed at an obviously incorrect price, we may correct the price and cancel any orders placed at the wrong price, refunding what you paid.
8. REFUNDS AND WITHDRAWAL RIGHTS
Because Digital Items are delivered immediately, all purchases of Gems, Memberships, Event Tickets, and Avatars are final and non-refundable once completed, except as set out in this section or required by law.
Nothing in these Terms of Sale limits consumer rights that cannot be waived under the laws where you live. In some places, such as the European Economic Area and the United Kingdom, you may have a right to withdraw from a distance purchase within 14 days. By buying a Digital Item, you ask us to deliver it immediately, and you acknowledge that you lose your right of withdrawal for digital content once delivery has started, to the extent the law allows. This acknowledgement is shown at checkout.
Purchased Gems that have not been spent may be eligible for a refund within the period required by law or by the rules of the Payment Provider. Gems that have been spent are not refundable.
Refunds for cancelled events are described in Section 6 and are returned as Gems to your Moiio account unless the law requires a refund to your original payment method.
If a Digital Item does not work as described, is delivered incorrectly, or you were charged by mistake, contact us promptly. We will fix the problem, replace the item, or refund the Gems or payment, as appropriate.
To request a refund or report a problem, contact us using the details in Section 11. Include your account name, the item, and the date of purchase. Purchases made through an app store may need to be requested through that store, which controls its own refunds.
We may refund a purchase at our discretion. A refund in one case does not oblige us to refund in another.
9. FRAUD, CHARGEBACKS, AND ACCOUNT ACTIONS
You are responsible for purchases made through your account. If you believe someone used your account or payment method without permission, contact us right away so we can investigate and secure your account.
If you have a problem with a purchase, please contact us first so we can try to resolve it. If you dispute a payment with your bank or card issuer without contacting us, or if a chargeback is made for a purchase you authorized, we may suspend your account, remove the Gems or Digital Items bought with that payment, and cancel related Memberships and Event Tickets until the dispute is resolved.
We may cancel purchases, remove Gems or Digital Items, and suspend or terminate accounts involved in fraud, payment abuse, use of stolen payment methods, unauthorized Gem trading, or ticket resale in breach of these terms.
If your account is suspended or closed because you broke the Terms of Service or these Terms of Sale, you may lose access to your Gems, Memberships, Event Tickets, and Avatars without refund, to the extent the law allows. If we close your account for reasons other than your breach, we will return the value of your unused purchased Gems where required by law.
10. CHANGES, GOVERNING LAW, AND CONTACT
We may update these Terms of Sale from time to time, for example to reflect new products or legal requirements. If a change is material, we will notify you through Moiio or by email before it takes effect. Changes apply to purchases made after the effective date. By making a purchase after that date, you accept the updated terms.
These Terms of Sale are governed by the laws of Delaware, without regard to conflict-of-law rules, except where your local consumer protection laws require otherwise. Any dispute is subject to the dispute resolution and venue provisions of the Moiio Terms of Use, and does not affect any right you have to bring a claim in the courts of your country of residence where the law gives you that right.
If any part of these Terms of Sale is found unenforceable, the rest remains in effect.
